Welcome to the embodied intelligence brain model–related products and services provided by BeingBeyond Co., Ltd. (hereinafter referred to as “we,” “us,” or “our”).

These Terms of Service (hereinafter referred to as the “Terms”) constitute a legally binding agreement between you and us regarding your access to and use of our embodied intelligence brain model research and development, deployment, technical support, and related derivative services (collectively, the “Services”).

1. User
   Refers to any natural person, legal entity, or other organization that completes the registration process and is qualified to use the Services (hereinafter referred to as “you” or “User”).

2. Embodied Intelligence Brain Model
   Refers to the core algorithmic models and related software components independently developed by us to enable robots to perform intelligent functions such as perception, decision-making, and interaction.

3. Services
   Refers to various services provided by us based on the Embodied Intelligence Brain Model, including but not limited to model deployment, function customization, technical support, system upgrades, and operations and maintenance services. The specific scope of services shall be subject to the service orders or other agreements executed between you and us.

4. User Data
   Refers to all data, information, content, and materials uploaded, generated, or provided by you during the use of the Services, including but not limited to robot device parameters, interaction commands, environmental perception data, and business data.

5. Service Level Agreement (SLA)
   Refers to any agreement entered into between you and us regarding service availability, response time, fault resolution timelines, and related service quality standards and liabilities (if applicable).

II. Scope of Services

1. We shall provide you with Services related to the Embodied Intelligence Brain Model in accordance with your needs and the mutual agreement of both parties. The specific service content, delivery method, service term, and service standards shall be subject to the service orders or other written confirmations executed by both parties.

2. We reserve the right to optimize, upgrade, or adjust the Services or their functions due to technological development, business adjustments, or changes in laws and regulations. We will provide prior notice through reasonable means such as official website announcements, in-platform notifications, or email. If such changes materially and adversely affect your normal use of the Services, we will provide reasonable solutions. If you do not agree to such changes, you may terminate the Services in accordance with these Terms.

3. The Services are limited to your own lawful business use. Without our prior written consent, you shall not lease, sublicense, transfer, or otherwise make the Services available to any third party, nor use the Services beyond the agreed number of robot devices, usage scenarios, or business scope.

III. User Rights and Obligations

(A) User Rights

1. Subject to compliance with these Terms and related agreements, you have the right to lawfully use the Services provided by us.

2. You have the right to request that we provide Services in accordance with the service orders and SLAs and to supervise service quality.

3. You retain lawful ownership of your User Data (unless otherwise provided by applicable laws and regulations) and have the right to require us to keep such data confidential and protected.

4. You have the right to submit inquiries, feedback, or complaints regarding the Services, which we will address in a timely manner in accordance with applicable agreements.

(B) User Obligations

1. You represent that you are a natural person, legal entity, or organization with full civil rights capacity and civil conduct capacity and are able to independently bear civil liability. If you are a minor, you must use the Services under the supervision and with the explicit consent of your legal guardian, who shall bear the corresponding legal responsibilities.

2. You shall provide true, accurate, and complete information during account registration (including name, contact information, qualification certificates, etc.) and promptly update such information as necessary. You shall bear all responsibility for any losses or disputes arising from inaccurate or incomplete information.

3. You shall properly safeguard your account credentials (including username and password) and be responsible for all activities conducted under your account. If you discover any unauthorized use or security breach, you shall notify us immediately. Any losses caused by your failure to properly safeguard your account shall be borne by you.

4. You shall comply with applicable laws and regulations, including but not limited to the Cybersecurity Law of the People’s Republic of China, the Data Security Law, and the Personal Information Protection Law, and shall not use the Services to engage in any illegal or infringing activities, including but not limited to:

   • Uploading or transmitting content that endangers national security, public interests, social stability, public morals, or contains obscene, violent, or defamatory material;

   • Collecting, using, or disclosing personal information or trade secrets without authorization;

   • Reverse engineering, decompiling, disassembling, modifying, or tampering with the Services or related software, code, or data without authorization;

   • Launching cyberattacks, distributing malware, or interfering with the normal operation of our systems or those of other users;

   • Any other conduct in violation of applicable laws or these Terms.

5. You shall ensure that you possess the necessary equipment, network environment, and technical conditions to use the Services and shall be responsible for the security of your own equipment and network.

6. If the Services involve third-party hardware, software, or services (such as robot hardware or operating systems), you shall ensure that you have obtained lawful authorization from such third parties and bear all related responsibilities.

7. You shall cooperate with our reasonable technical inspections, service optimization, and compliance checks, except where prohibited by law.

IV. Our Rights and Obligations

(A) Our Rights

1. We have the right to provide the Services in accordance with these Terms and to collect and use necessary information as required for service provision, subject to our Privacy Policy.

2. We reserve the right to monitor your use of the Services and to take actions such as warnings, suspension, termination of Services, or account freezing if you violate these Terms.

3. We retain ownership or lawful usage rights to all intellectual property related to the Embodied Intelligence Brain Model, software, and technologies and may update or iterate such technologies as needed.

4. To the extent permitted by law, we may use non-confidential and anonymized data generated during service provision for research, optimization, and statistical analysis.

(B) Our Obligations

1. We shall provide the Services diligently in accordance with these Terms, service orders, and SLAs and ensure service stability and availability, except for interruptions caused by force majeure, user-related reasons, or other legally exempt circumstances.

2. We shall implement appropriate technical and organizational measures to protect User Data and personal information, including encryption and access controls, and promptly notify you of any data security incidents as required by law.

3. We shall keep your trade secrets, confidential information, and personal information confidential, except as required by law or by competent authorities.

4. We shall provide reasonable technical support and establish service response mechanisms as agreed in the SLA.

5. We shall comply with applicable laws and regulatory requirements and cooperate with supervisory authorities as required.

6. We shall not illegally collect, use, or disclose your User Data or personal information.

V. Intellectual Property

1. All intellectual property rights related to the Embodied Intelligence Brain Model, software, algorithms, technical documentation, and service identifiers belong exclusively to us or our licensors. These Terms do not grant you any ownership or license beyond the scope of permitted use.

2. You retain intellectual property rights to your User Data (unless otherwise required by law). You grant us a non-exclusive, non-transferable license to use such data solely for the purpose of providing the Services.

3. Ownership of any newly generated intellectual property arising from the Services shall be determined by separate written agreement; absent such agreement, such rights shall belong to us.

VI. Fees and Payment
